Panos Returns

Birmingham International Holdings have this afternoon confirmed the re-appointment of Panos Pavlakis as an executive director, along with Li Hanguo and Liu Enxue as independent non-executive directors.

The announcement signed off by Cheung Shing confirms that within 24 hours of failing re-election all three directors return to the board.

The re-appointment of Panos will be seen as a kick in the teeth for Pannu following the events of the AGM yesterday and I believe shows that the faction standing against him aren’t done yet. It’s also interesting as I believe it directly goes against Carson and sets up another power struggle in the coming weeks.

Pantomime season it appears isn’t quite over yet.

      My take would be as follows. As Dan wrote in his earlier blog following the AGM the board was split 3-3 between the pro and anti Pannu factions, with the Chairman (anti Pannu) having the casting vote. It would seem that the anti Pannu faction have acted quickly to reappoint Panos and non exec directors to bolster their position – presumably the BIHL governance regulations allow this and these directors won’t face a formal shareholder vote until at least the next AGM (or a special EGM). It was interesting to see Panos saying “game on” on his Twitter account post this news – so I think we have a full on power struggle going.

    i am reading these developments differently and believe Pannu to be there to obtain finance and /or oversee the sale of bcfc depending on Carson’wishes
    wishes.
    Panos will continue with bcfc day to day continuing to protect and even increase the value of Bihl s only asset

      I made the same point yesterday. I am not holding my breath but Pannus pending payday may be at the time of a sale. It could well suit Pannu therefore to have Panos protecting or even enhancing the clubs value if he is on a commission to make a sale. In pannus outburst he did point out that he had a deal with Wray. But then again he also indicated that we would be in the mire during this month when called on by hmrc for a tax bill of £1.8m !

    You literally could not make this up. Well, that’s chapter 1 of Dan’s follow-up book sorted then.

    Didn’t this happen a couple of years back — three people got voted off and then came back in the next day.

    I believe the adverse publicity against Pannu may have resulted partially in the return of Pavlos ( a title for Dans next book ) ? also done to placate the Football League who knows ? but there are more twist and turns and power battles off the field to come – or has Carson sat back like Grouty in Porridge and pulled all the string from his incarceration s and smiles as he cannot loose-time will tell?

    “After the conclusion of the Adjourned AGM, the Board now comprises a total of six executive
    Directors and two independent non-executive Directors. In order to comply with the Listing Rules,
    the Company proposes to appoint at least one additional independent non-executive Director,
    assuming that there is no change to the current composition of the Board. The Company has made endeavors however more time is required to identify a suitable candidate to be an additional independent non-executive Director in order to comply with the Listing Rules. The Company will continue with such endeavors and will comply with the Listing Rules as soon as possible.”

    So they were already looking for a replacement but couldn’t find anyone by the 6th. So they ask for more time then a day later go back to the guy that just booted off. Well at least they got the right answer in the end.

      They were going to appoint another one “assuming that there is no change to the current composition of the Board”. Wonder who put that in. Because Pannu must have known that he would lose a 3-3 vote for putting Panos back in. Unless he was hoping to sway one director, put a new one that would be pro-Pannu, and getting a permanent majority.

      Then the question is whether Pannu’s choice would have had to jump a hurdle or two to appease the HKSE.

      Alternatively the anti-Pannu faction put that in to keep HKSE off their backs, knowing they could get Panos back.

    There must have been a hastily arranged board meeting, perhaps imitated from concerns in relation to HKSE at which they would have been voted back on by a vote of hands. They name remain on until the next AGM but could Yeung call an EGM to use ‘his’ block vote to remove them again?

    By the way glad to see Panos re elected, almost makes the AGM a waste of time.

    I think some people on the board want to sell and believe Pannu will be the right person to do so and so voted him in on the board. Others have realised that Pavlakis is very good at running the club on a day to day basis and that the supporters repulsion to Pannu could only be tamed by keeping Pavlakis in his role. Either way, we got our man back and hopefully we will not see the feel good factor evaporate as it did yesterday! Also agree about the HKSE not being impressed with Pannu. What a difference a day makes….KRO

    So am I right in thinking that the only thing that the AGM achieved is to get Pannu back on the board. I really don’t understand these people, couldn’t run a party in a brewery.

    I’m not going to celebrate or even remotely acknowledge ‘The Return of Panos’ as a good thing just yet. Instead, I will be waiting for the next phase of BIHL to run us into the ground …and the FL to do bugger all to acknowledge it.

    I think there’s only one thing left for us supporters & that is to get behind the team & hope our on field fortunes continue & off field problems get sorted sooner rather than later.
    With the BIH offices being so far away we can hardly stand outside them & protest!!!

    I apologise now if I have missed something but all this stuff about Pannu being re-appointed to get the club sold is completely missing some key issues isn’t it. It would not make commercial sense to sell the club as they would lose their HKSE listing which I think I have read, probably on here, is in itself worth £38m, far more than they would ever get through a sale. The only way they could sell the club and keep the listing is for BIHL to invest in another business other than the club which the HKSE would consider a viable business.

        It is the crucial point…but are BIHL actually busting a gut to acquire other viable businesses. Because currently I’ve seen no evidence that they’re even looking to acquire other businesses. Quite honestly, I don’t know WHAT they do day-to-day…sit at their computers and play Solitaire?

          I guess the main reason they are not acquiring other businesses is because they have no cash!! The only ways they can raise cash is by selling off a piece of BCFC or by issuing some more shares for sale.

          Not to mention people have to actually be willing to sell their business to BIHL & to be honest, if you had spent years of busting a gut building a business up from nothing, would you sell to them?

      When Jeremy Wray was in negotiations to buy Blues it was on the basis that a way had been found to sell the club and for BIHL to keep their listing. When Dan met with Wray he said himself that it could be viable to do this.

    What this shows is all the work and contacts in HK have been virtually useless, the truth is they know nothing
    Dan spends god knows how long agonizing on what each minute detail means for the club, then everything changes overnight.
    We all thank Daniel for his updates but what on earth is the point if his theories prove incorrect as they are increasingly prone to.

    Methinks our Mr. Cheung Shing is a wise man. He’s played his Chairman’s role masterfully. Great that Panos is secure in both operating and holding companies. All he needs to do now is reassure GR and the lads that all is as well as it can be so they can focus on winning against the Latics.

    Is it possible that someone has been appointed to vote on Carson’s behalf, hence those majority vote counts & he has only discovered the outcome of the AGM overnight & insisted they be reinstated? It seems remarkable he would remove his own brother in law. Maybe Carson didn’t cast ther original votes?

      I appreciate that I’m probably talking to myself but isn/t it odd that, according to the Mail, Carson is now having a rant about the directors being elected are not to his liking, (I’ve sent details of this by e-mail to the Football League) after Peter Pannu had his rant before christmas about Dan. In the meantime, Wolves and Blues get nearer the play off zone. It seems as if things are going our way in spite of the dice being loaded against us. KRO. Happy New Year.
